These Terms of Service ("Terms") govern your access to and use of the Asemblie platform, including the website at asemblie.com, our applications, and related services (collectively, the "Service"). The Service is operated by Asemblie, Inc., a Florida corporation with its principal place of business at 17218 Toledo Blade Boulevard, Port Charlotte, FL 33954 ("Asemblie," "we," "us," or "our").
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. WHAT ASEMBLIE IS — AND IS NOT
Asemblie is a technology platform that connects three types of participants at in-person events:
- Organizers — who create and run events (farmers markets, festivals, car shows, competitions, craft fairs, and similar)
- Vendors — who sell goods or present entries at those events
- Guests — who attend events, browse, purchase, and participate
Asemblie is not a party to transactions between Guests and Vendors or Organizers. We provide the software that facilitates discovery, ordering, and payment processing. We do not own, sell, inspect, or take possession of any goods sold through the Service. We do not host, staff, insure, or control any physical event.
Where you purchase goods through the Service, your contract for those goods is with the Vendor or Organizer selling them, not with Asemblie. Where you attend an event, your relationship is with the Organizer of that event.
Additional terms apply depending on your role:
- Vendors are also bound by the Vendor Agreement
- Guests are also bound by the Guest Terms
If those role-specific terms conflict with these Terms, the role-specific terms control for that subject matter.
2. ELIGIBILITY AND ACCOUNTS
Age. You must be at least 18 years old to create an account, list products, create an event, or make a purchase through the Service. If you are between 13 and 18, you may only use the Service with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf. The Service is not directed to children under 13, and we do not knowingly collect information from them.
Account accuracy. You agree to provide accurate, current, and complete information and to keep it updated. Businesses creating accounts represent that the individual accepting these Terms has authority to bind the business.
Account security. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at support@asemblie.com if you suspect unauthorized access.
Roles. A single Asemblie account may hold multiple roles simultaneously. Creating an organization makes you an Organizer; creating a booth or vendor profile makes you a Vendor; any account may participate as a Guest. Some Guest activity — such as browsing, scoring, or voting — may be available without an account.
3. PAYMENTS AND FEES
Payment processing. Payments are processed by Stripe, Inc. Your use of payment features is subject to the Stripe Services Agreement and, for Vendors and Organizers receiving funds, the Stripe Connected Account Agreement. You authorize Asemblie to share transaction and account information with Stripe as necessary to process payments.
Platform fee. Asemblie charges a platform fee on transactions processed through the Service. The current fee is published on our pricing page and is disclosed before you complete a transaction. We may change fees prospectively; changes do not apply to transactions already completed.
Event fees. Organizers may be charged a fee to publish an event, based on the tier and pricing published at the time of publication.
Payouts. Funds from Guest purchases are routed to the selling Vendor's or Organizer's connected Stripe account, less applicable platform and processing fees. Payout timing is controlled by Stripe and the recipient's connected account settings. Asemblie does not guarantee payout timing.
Taxes. Each Vendor and Organizer is solely responsible for determining, collecting, reporting, and remitting all taxes arising from their sales, including sales, use, and income taxes. Asemblie does not provide tax advice and is not the merchant of record for Vendor sales.
Chargebacks and disputes. If a Guest disputes a charge, the amount, plus any processor fees, may be debited from the receiving Vendor or Organizer. Asemblie may assist in providing transaction records but is not responsible for the outcome of any dispute.
4. ACCEPTABLE USE
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation
- List, sell, or facilitate the sale of prohibited items (see the Vendor Agreement for the prohibited items list)
- Misrepresent yourself, your business, your products, or your affiliation with any person or entity
- Manipulate ratings, scores, votes, competition results, or reviews — including by casting votes through multiple accounts or sessions, offering compensation for votes, or interfering with another participant's entry
- Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Service or its systems
- Use automated means to scrape, harvest, or extract data from the Service without our written permission
- Circumvent the Service's payment flows to avoid platform fees on transactions initiated through the Service
- Harass, threaten, defame, or discriminate against any other user
- Upload malicious code or content that infringes another party's rights
We may investigate suspected violations and may suspend or terminate access, remove content, cancel listings, or withhold funds where we reasonably believe a violation has occurred.
5. CONTENT AND INTELLECTUAL PROPERTY
Your content. You retain ownership of the content you submit — product listings, photos, descriptions, vehicle profiles, competition entries, event details, and similar ("Your Content").
License to us. You grant Asemblie a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, adapt (for formatting and display purposes), and distribute Your Content solely for the purpose of operating, promoting, and improving the Service. This license ends when you delete Your Content, except for copies retained in backups or where the content has been shared by others.
Your representations. You represent that you own or have the necessary rights to Your Content and that it does not infringe any third party's intellectual property, privacy, or publicity rights.
Our property. The Service — including its software, design, interface, and the Asemblie name, logo, and marks — is owned by Asemblie and protected by intellectual property law. These Terms grant you no right to use our marks without our prior written permission.
Copyright complaints. If you believe content on the Service infringes your copyright, send a notice to dmca@asemblie.com including: identification of the copyrighted work, identification of the allegedly infringing material and its location, your contact information, a statement of good-faith belief that the use is unauthorized, a statement under penalty of perjury that the information is accurate and you are authorized to act, and your signature. We will respond in accordance with the DMCA and may terminate repeat infringers.
6. EVENTS, LISTINGS, AND THIRD-PARTY CONDUCT
We do not vet participants. Asemblie does not screen, verify, or endorse Organizers, Vendors, events, or products. We do not guarantee that any event will occur, that any Vendor will attend, that any product will be available, or that any listing is accurate.
Event risk. Attendance at any physical event is at your own risk. Asemblie is not responsible for the condition of any venue, the conduct of any attendee, the safety or quality of any food or product, or any injury, loss, or damage arising from attendance.
Competitions and scoring. Where the Service supports guest scoring, voting, or competition results, those results reflect participant input collected through the Service. Asemblie does not certify results, adjudicate disputes about them, or award prizes. Organizers are solely responsible for competition rules, eligibility, prizes, and the resolution of any dispute.
Vehicle and item sale listings. Where a Vendor lists a vehicle or other item as available for sale, any resulting transaction occurs directly between the Vendor and the buyer, outside the Service. Asemblie is not a broker, dealer, or party to such transactions and makes no representation about the item, its title, its condition, or the parties involved.
7. THIRD-PARTY SERVICES
The Service relies on third-party providers, including Stripe (payments), Supabase (data infrastructure), Vercel (hosting), and email delivery providers. The Service may also link to third-party websites, including Vendor storefronts on external platforms. We do not control and are not responsible for third-party services or sites, and your use of them is governed by their own terms.
8. DISCLAIMERS
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT DATA WILL NOT BE LOST. WE DO NOT WARRANT THE QUALITY, SAFETY, LEGALITY, OR ACCURACY OF ANY PRODUCT, LISTING, EVENT, OR USER.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
No indirect damages. ASEMBLIE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THE SERVICE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Cap. OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL PLATFORM FEES YOU PAID TO ASEMBLIE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Third-party conduct. WE ARE NOT LIABLE FOR THE ACTS OR OMISSIONS OF ANY ORGANIZER, VENDOR, GUEST, OR OTHER THIRD PARTY, INCLUDING ANY FAILURE TO DELIVER GOODS, ANY EVENT CANCELLATION, OR ANY INJURY OR LOSS AT A PHYSICAL EVENT.
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or any liability that cannot lawfully be limited.
10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Asemblie and its officers, directors, employees, and agents from any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising from or relating to: (a) your use of the Service; (b) Your Content; (c) your products, services, or events; (d) your violation of these Terms or any applicable law; or (e) your violation of any third party's rights.
11. TERMINATION
By you. You may stop using the Service and request account deletion at any time by contacting support@asemblie.com.
By us. We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for us or other users, or if we discontinue the Service.
Effect. On termination, your right to use the Service ends immediately. Obligations that by their nature should survive — including payment obligations, Sections 5 (as to licenses in content already shared), 8, 9, 10, 12, and 13 — survive termination. Outstanding funds owed to you will be handled in accordance with the Vendor Agreement and Stripe's terms.
12. DISPUTE RESOLUTION AND GOVERNING LAW
Governing law. These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules.
Informal resolution first. Before filing any claim, you agree to contact us at legal@asemblie.com and attempt to resolve the dispute informally for at least thirty (30) days.
Venue. Subject to the paragraph below, any dispute not resolved informally will be brought exclusively in the state or federal courts located in Charlotte County, Florida, and you consent to the personal jurisdiction of those courts.
Small claims. Either party may bring an individual claim in small claims court if it qualifies.
13. GENERAL
Changes to these Terms. We may update these Terms. If changes are material, we will provide notice through the Service or by email before they take effect. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service.
Changes to the Service. We may modify, suspend, or discontinue any part of the Service at any time.
Entire agreement. These Terms, together with the Privacy Policy and any applicable role-specific terms, constitute the entire agreement between you and Asemblie regarding the Service.
Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
No waiver. Our failure to enforce any provision is not a waiver of that provision.
Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
Force majeure. We are not liable for any failure or delay caused by circumstances beyond our reasonable control.
